Diversity Investment Group Meeting Minutes: January 6, 1999 Members in attendance: Andy Bain, John Brock, David Brodeur, Holly Deveny, Roger Drury, Ron Kozak, David Robinson, Tom Saunders, Randy Wilbur. -Introductions. -Reviewed valuation statement Share price on 12/31/98 was $10.957. -John B. advised payout needed for Monty (90% of his valuation). $1,419.08 owed to Monty. Leaves us with about $900.00 to invest this month. -David B. requested and was approved for reimbursement of $40.00 purchase of tax software for DIG. (He opted to take in shares.) -John B. reviewed our mix of holdings (Gary's worksheet). -Visitor, Michael Wall introduced himself. A second visitor Steve Shockley joined us later. This was the first visit for each of them. -David B. advised of upcoming 2-day Atlanta Council Investor's Fair. Pls see David B. for details if interested. -David B. advised Miguel was getting ready for our annual audit. Pls make sure Miguel has your correct address to mail out the K-1 tax form. -Officers for next year: Gary K. = VP David B. = President Vinnie M. = Secretary Treasurer = Miguel An new Assistant Treasurer may be needed soon….to help as a backup person for Miguel. Tom S. expressed an interest. Next month we have 3 volunteers for SSG presentations: David R., Andy B. and Tom S. ANALYSTS' REPORTS GIVEN: John B. for Autozone: Most recommendations are to buy but John recommended holding. Andy B. for Adobe: Expectation of 51 cents to 55 cents per share earnings. Recommendation to hold. Roger D. for St. John Knits: Do we want to take offer from St. John of company buy back at $28.00 per share? (Current price is $26.00) 53% of shares were represented in the meeting (for a quorum). A motion was made to accept the tender offer but a majority did not approve the motion, as 3 members opposed. David B. for Techne: Price is projected to go up to $42.00 in 5 years. Recommended a hold at current price. Tom S. for ADP: Co. has 1 Billion in cash. Stock split this week. Outside our buy zone. Tom S. for Safeskin, medical latex glove co. Outside of buy zone right now but a good co. to watch. Manufactured in Malaysia and Thailand. 85% of sales in the US. David B. for Fannie Mae: A hold right now. Nation's largest mortgage financier. 11 years of solid earnings. Overpriced currently. David B. for MBNA, a credit card financial co. Less stable earnings history than Fannie Mae. Summary: Staples went up last month as did HP. Majority seemed to favor continuing to purchase stocks and not wait to lose out on more opportunities. We have about $900.00 available for purchase.
